These Terms of Service ("Terms") govern your access to and use of the DojoMojo platform and related services (collectively, the "Service") operated by DojoMojo ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and agree to comply with these Terms. If you are using the Service on behalf of a studio or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

DojoMojo is a multi-tenant SaaS platform that provides martial arts studios with tools to manage their operations, including:

  • Student enrollment and profile management
  • Class scheduling and attendance tracking
  • Liability waiver collection and management (including minor waivers with guardian consent)
  • Payment processing and subscription billing via Stripe Connect
  • White-label client-facing websites with custom domain support
  • Email notifications and communications

Each studio operates as an independent tenant with isolated data. Studios are responsible for their own students' data and their own business operations.

3. Account Registration and Responsibilities

3.1 Registration

To use the Service as a studio operator, you must create an account by providing accurate and complete information, including your name, email address, and business details.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [EMAIL] if you suspect unauthorized access to your account.

3.3 Studio Responsibilities

As a studio operator, you are responsible for:

  • Maintaining the accuracy and legality of content on your white-label site
  • Obtaining appropriate consent from students (or their guardians) before collecting personal information
  • Complying with all applicable local, state, and federal laws and regulations related to your studio operations
  • Ensuring that liability waivers are legally valid in your jurisdiction
  • Managing your own student relationships, including refunds, disputes, and communications

4. Subscription and Billing

4.1 Subscription Plans

DojoMojo offers subscription plans with pricing and features as described on our website. We reserve the right to modify pricing with 30 days' advance notice.

4.2 Payment Processing

Subscription payments are processed through Stripe. By subscribing, you authorize us to charge the applicable fees to your payment method on a recurring basis.

4.3 Stripe Connect

Studio operators who collect payments from students do so through Stripe Connect. Studios are responsible for:

  • Maintaining an active and compliant Stripe account
  • Complying with Stripe's terms of service and acceptable use policies
  • Managing student refunds and disputes through the Stripe platform

DojoMojo charges a platform fee on transactions processed through the Service, as described during account setup. Studio operators receive payouts net of platform fees and Stripe processing fees.

4.4 Refund Policy

Subscription fees for DojoMojo's platform service are non-refundable except as required by applicable law. Student refunds for studio services are the sole responsibility of the studio operator and are processed through their Stripe account.

4.5 Taxes

You are responsible for determining and remitting any applicable taxes related to your use of the Service and your studio operations.

5. Intellectual Property

The Service and its original content (excluding user content), features, and functionality are and will remain the exclusive property of DojoMojo and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

6. User Content

6.1 Ownership

You retain ownership of all data you submit to the Service, including student records, class schedules, waiver data, and custom website content ("User Content").

6.2 License to DojoMojo

By submitting User Content, you grant DojoMojo a limited, non-exclusive license to store, process, and display that content solely for the purpose of providing the Service to you and your students.

6.3 Responsibilities

You represent and warrant that your User Content does not violate any applicable law or the rights of any third party. We reserve the right to remove or disable access to User Content that we believe, in our sole discretion, violates these Terms or applicable law.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation
  • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Collect personal information from students without appropriate consent and disclosure
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
  • Use the Service for any purpose that is unlawful or prohibited by these Terms
  • Resell, sublicense, or redistribute the Service without our prior written consent

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOJOMOJO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY (INCLUDING STUDENTS OR OTHER STUDIO OPERATORS) ON THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAUS TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless DojoMojo and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party, including your students
  • Any content you submit or transmit through the Service

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. We will retain your data for 90 days following termination to allow you to export your records, after which it will be permanently deleted (subject to the retention periods described in our Privacy Policy).

Provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. When we do:

  • We will update the "Last Updated" date at the top of this page.
  • For material changes, we will provide notice via email or a prominent notice on the Service at least 30 days before the change takes effect.
  • Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

If you do not agree to the revised Terms, you must stop using the Service and close your account.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of [STATE], without regard to its conflict of law provisions.
